Abstract

Gender diversity on corporate boards has emerged as an important element of modern corporate governance, reflecting increasing commitments to inclusivity and sustainable business practices. In India, the Companies Act, 2013 and the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 mandate the appointment of at least one woman director on the boards of certain classes of companies. These regulatory measures aim to enhance gender representation while strengthening corporate governance, transparency, and accountability. However, despite these statutory requirements, the actual impact of gender diversity on board effectiveness and corporate performance continues to generate academic debate. This paper critically examines the legal framework governing women’s representation on corporate boards in India and evaluates its influence on corporate performance. It traces the evolution of legal and regulatory provisions relating to gender diversity and analyzes their relationship with key indicators such as financial performance, risk management, decision-making quality, corporate governance standards, and stakeholder confidence. The study also identifies persistent challenges including compliance gaps, limited decision-making authority of women directors, and weak enforcement mechanisms. It highlights the need for stronger regulatory enforcement, improved disclosure norms, and institutional support to ensure meaningful participation of women directors and promote sustainable corporate governance.
